Halo provides custom healthcare workflow systems and related services, which may include:
- workflow consulting and implementation planning
- custom app development
- integrations with third-party systems
- AI-assisted documentation and admin tools
- lab, radiology, billing, scheduling, and communication automations
- support, maintenance, and refinement
Halo is a support and workflow platform. It is not a substitute for clinical judgment, diagnosis, or treatment.
3. Eligibility and accounts
To use certain parts of Halo, you may need to create an account.
You agree to provide accurate information and keep it updated.
You are responsible for:
- maintaining the confidentiality of your login details
- all activity under your account
- ensuring only authorised persons access your account
You must notify us promptly if you believe your account has been compromised.
4. Client responsibilities
You are responsible for:
- complying with applicable laws, regulations, and professional obligations
- obtaining any patient notices, permissions, or consents required for your use of Halo
- reviewing outputs generated through Halo before using them clinically, administratively, or commercially
- ensuring that only authorised personnel use the system
- maintaining your own records where required by law or professional rules
- confirming the suitability of workflows, templates, automations, and outputs for your setting
Final clinical, medical, legal, financial, and professional decisions remain with you.
5. Fees and pricing
Unless otherwise agreed in writing, Halo's pricing may include:
- a free first consultation and planning discussion
- a setup fee for building and configuring your custom system
- recurring monthly platform or support fees
- billing-related fees where applicable
Pricing published on our website or agreed in writing forms part of your commercial arrangement with us.
Unless expressly stated otherwise:
- fees are payable in the agreed currency
- invoices are payable in accordance with the payment terms stated on the invoice
- late payment may result in suspension of services
- we may revise pricing on reasonable notice for future billing periods or new scopes of work
6. Setup, implementation, and custom work
Halo may provide custom implementation, configuration, integration, development, or advisory work.
Project timelines, deliverables, and scope may depend on:
- the complexity of your workflow
- the systems involved
- the availability and quality of third-party access
- timely input and approvals from you
- technical constraints outside Halo's control
Custom work may be phased and refined over time.
7. Ownership and intellectual property
Unless otherwise agreed in writing:
7.1 Your ownership
You retain ownership of:
- your data
- your patient information
- your records and documents
- your templates, letterheads, forms, and workflow materials
- your organisation-specific content
7.2 Halo ownership
Halo retains ownership of:
- its background technology
- reusable components
- internal frameworks
- general methods, know-how, and tooling
- pre-existing intellectual property
- general improvements not specific to your confidential materials or identifiable data
7.3 Custom apps and ecosystems
Where Halo builds a custom app or workflow environment for you, the commercial and ownership position may be further defined in a proposal, order form, project agreement, or statement of work.
8. Privacy and data protection
Each party must comply with applicable privacy and data protection laws.
You are responsible for ensuring that you have the right to provide information to Halo for the agreed services.

9. Third-party services and integrations
Halo may depend on third-party tools, cloud providers, integrations, APIs, messaging services, document platforms, calendar services, storage platforms, billing tools, analytics providers, and AI providers.
We are not responsible for:
- third-party outages
- changes to third-party pricing or terms
- third-party data practices outside our control
- failures caused by revoked access, broken credentials, or external platform changes
Your use of third-party services may also be subject to their own terms and policies.
10. Acceptable use
You must not:
- use Halo unlawfully
- misuse the platform or attempt unauthorised access
- upload harmful code or attempt to disrupt services
- reverse engineer the platform except where permitted by law
- use Halo in a way that infringes others' rights
- input information you are not authorised to use
- use Halo in a way that creates avoidable cybersecurity risks
11. AI-assisted outputs
Halo may generate drafts, summaries, structured data, communications, or suggested outputs using AI-assisted systems.
You acknowledge that:
- AI-assisted outputs may be incomplete, inaccurate, or unsuitable in some circumstances
- outputs must be reviewed by an appropriately qualified human before reliance
- Halo does not make final clinical decisions
- Halo is not responsible for decisions made without appropriate review
12. Support
Unless otherwise agreed in writing, Halo may provide support through channels such as email, messaging, and WhatsApp groups.
Where we state a support response target, such as a 24-hour response time, that means a target response time, not an absolute guarantee of full resolution within that period.
13. Suspension and termination
We may suspend or limit access where reasonably necessary, including for:
- security concerns
- non-payment
- misuse
- legal or regulatory risk
- maintenance or technical issues
You may stop using Halo at any time, subject to any agreed notice periods or commercial commitments.
We may terminate services or access on reasonable notice, or immediately where reasonably necessary for legal, security, or misuse reasons.
14. Effect of termination
On termination:
- your right to use Halo ends
- outstanding fees remain payable
- we may disable access to systems and services
- we may retain or delete information in accordance with our legal obligations and retention policies
- where agreed or reasonably possible, we may assist with transition or handover on a paid or agreed basis
15. Disclaimers
Halo is provided on an as available and as is basis, subject to applicable law.
We do not guarantee that:
- the service will always be uninterrupted or error-free
- every integration will remain available indefinitely
- all outputs will be complete, accurate, or appropriate for your use case
- every workflow will be suitable without client review and input
Halo supports healthcare operations. It does not replace professional judgment.
16. Limitation of liability
To the maximum extent permitted by law, Halo will not be liable for indirect, incidental, consequential, special, or punitive losses, including loss of profits, revenue, goodwill, or data.
To the maximum extent permitted by law, Halo's total liability arising from or connected to the service will not exceed the fees paid by you to Halo in the 12 months preceding the event giving rise to the claim.
Nothing in these Terms excludes liability that cannot lawfully be excluded.
17. Indemnity
You agree to indemnify Halo against claims, losses, and liabilities arising from:
- your unlawful or unauthorised use of Halo
- your breach of these Terms
- your failure to obtain required consents or permissions
- your clinical, administrative, or business decisions made using Halo
- your infringement of others' rights
This does not apply to the extent a claim is caused by Halo's own unlawful conduct or wilful misconduct.
18. Confidentiality
Each party must keep the other party's confidential information confidential and use it only as needed for the relationship, unless disclosure is required by law.
19. Changes to the service or Terms
We may update Halo and these Terms from time to time.
Where changes materially affect your rights or obligations, we will take reasonable steps to give notice.
Continued use after updated Terms take effect constitutes acceptance of the updated Terms, unless applicable law requires a different approach.
20. Governing law
These Terms are governed by the laws of the Republic of South Africa, unless a different governing law is expressly agreed in writing for a particular client arrangement.
